We provide podcast recording, video production, editing, uploading content to social media accounts on behalf of clients, podcast coaching, and social media coaching.

3. User Responsibilities

Accurate Information: Clients must provide accurate and complete information when booking services and making payments.Compliance with Laws: Clients must comply with all applicable laws and regulations while using our services.Content Responsibility: Clients are responsible for ensuring that any content they provide or create does not infringe on third-party rights or violate any laws.Use of Equipment: Clients must use any equipment or facilities provided in accordance with our guidelines and instructions.Respectful Behavior: Clients must behave respectfully towards staff and other clients.Intellectual Property: Clients must respect intellectual property rights and not use our services to infringe on others’ rights.

4. Payment Terms

Pricing: Services at Utah Podcast Studio are priced differently depending on the service. Some services are charged on an hourly basis, while others are priced per service provided.Payment Methods: We accept payments through cash, Venmo, and credit card.Refund Policies: We do not offer refunds or reschedules if a client cancels within the window defined in the cancellation policy below.Billing Cycles: We offer both one-time payments and recurring subscriptions.

5. Cancellation Policy

A. For Standard (As-Needed) Bookings

Clients who book appointments through our regular online booking calendar are subject to the following cancellation terms:

3 or more calendar days before the appointment: Full refund or free rescheduling.2 calendar days before the appointment: 50% cancellation fee. Clients may reschedule, but 50% of the session cost will still apply.1 calendar day or same-day cancellations: No refund or reschedule. The full session fee will be charged.

“Calendar days” refer to full days before the appointment date (not 24-hour blocks).

B. For Members (Subscription Clients)

Members with active podcast studio memberships are subject to the following cancellation terms:

2 or more calendar days before the appointment: The appointment will not count against the member’s allotted session time.1 calendar day or same-day cancellations: The appointment will count toward the member’s allotted hours and cannot be made up.

How to Cancel or Reschedule:

Clients must call or text Utah Podcast Studio directly to cancel or reschedule any appointments.

6. Intellectual Property

Ownership: Clients retain ownership of the content created during sessions at Utah Podcast Studio. However, Utah Podcast Studio has the right to use this content for marketing purposes unless the client requests otherwise via email.Usage Rights: Utah Podcast Studio is granted the right to use audio, video, and photographs collected during client sessions for promotional purposes on social media and marketing materials unless the client requests otherwise.Restrictions: Clients must respect intellectual property rights and not use Utah Podcast Studio’s intellectual property in any way that infringes on our rights or the rights of others.

7. Limitation of Liability

Limits on Liability: Utah Podcast Studio is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services, even if we have been advised of the possibility of such damages. Our total liability for any claim related to our services shall not exceed the amount paid by the client for the specific service that gave rise to the claim.Exclusions: We are not responsible for any loss or damage resulting from:(a) the client's failure to follow instructions(b) technical issues beyond our control(c) errors or omissions in the content provided by the client(d) third-party actions or servicesIndemnification: Clients agree to indemnify, defend, and hold harmless Utah Podcast Studio, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to:(a) the client's use of our services(b) any content provided by the client(c) any violation of these Terms and Conditions

8. Dispute Resolution

Resolution Method: Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in West Jordan, Utah.Jurisdiction: These Terms and Conditions are governed by the laws of the State of Utah. Any legal proceedings must be brought exclusively in the courts located in Salt Lake County, Utah.Process: Parties agree to attempt informal negotiations for 30 days before pursuing arbitration or legal proceedings.Legal Fees: The prevailing party in any legal action or arbitration will be entitled to recover reasonable attorney’s fees and costs.

9. Governing Law

These Terms and Conditions are governed by the laws of the State of Utah without regard to conflict of laws principles. Any disputes are subject to the exclusive jurisdiction of the courts located in Salt Lake County, Utah.

10. Force Majeure

Utah Podcast Studio is not liable for failure to perform due to circumstances beyond our control, including but not limited to natural disasters, strikes, war, or other force majeure events.

11. Severability

If any part of these Terms and Conditions is found to be unenforceable, the remaining sections will continue in full force and effect.

12. Entire Agreement

These Terms and Conditions constitute the entire agreement between the client and Utah Podcast Studio and supersede all prior communications, proposals, or agreements.

13. Amendments

We reserve the right to amend these Terms and Conditions at any time. Updates will be posted on our website. Continued use of our services constitutes acceptance of the updated terms.

14. Waiver

Our failure to enforce any provision of these Terms and Conditions does not constitute a waiver of that provision or any other rights we may have.

15. Client Representations and Warranties

Clients represent and warrant that they have all necessary rights to any content provided and that such content does not infringe on any third-party rights.
